Product Order Terms and Conditions
The "Customer" is a company or an individual requesting the purchase of mui Lab products. The “Seller” is mui Lab, the company providing products to the “Customer”.
1. Intellectual Property Rights
All intellectual properties ("IPs") contained or embodied in the goods delivered, including, but not limited to patent rights, utility model rights, design rights and trademark rights, rights to grant of such rights, trade secreta and know-how are the sole and exclusive property of the Seller.
2. Derivative IP Rights
Any derivative works, modifications, improvements, or enhancements to the Seller's existing IPs contained or embodied in the goods delivered shall be the sole and exclusive property of the Seller. This clause does not apply to Customer's independent innovations that do not incorporate, derive from, or modify Seller's proprietary technology.
3. IP Registration Cooperation
If the Seller needs to register any IP(s) in accordance with the attribution stipulated in the preceding paragraphs, the Customer shall reasonably cooperate with the Seller in such registration(s), including providing necessary documentation and executing required forms.
4. Reverse Engineering Prohibition
The Customer shall not reverse-engineer, decompile, disassemble, or attempt to derive the source code of the goods delivered.
5. Transfer Restrictions
The Customer shall not transfer any rights in the goods delivered or possession of the goods delivered to any third party, regardless of whether it is for sale, gift, assignment, lending, encumber or any other purpose.
6. Title Transfer
The ownership of the devices listed in the order form will be transferred to the Customer upon delivery, subject to the restrictions set forth in these terms.
7. Delivery Terms (DAP)
Delivery shall be made on a Delivered at Place (DAP) basis to Customer's designated facility address as specified in the order form. The Seller is responsible for export clearance and international transportation to the agreed delivery point.
8. Delivery Schedule
Customer agrees to delivery dates as specified in the order confirmation issued by Seller's authorized representative. Delivery dates are estimates and may be subject to export licensing requirements and customs processing delays.
9. Delivery Delays and Remedies
If Seller fails to deliver goods within 30 days of the confirmed delivery date (excluding delays due to customs, force majeure, or Customer-caused delays), Customer may request a refund of payments made.
10. Payment Terms
Payment is due within 30 days of the invoice date. Late payments may incur interest charges.
11. Feedback Participation
Customer agrees to participate in reasonable feedback activities, including surveys, questionnaires, and research studies, as requested by Seller to improve products and services. Participation shall not exceed 4 hours per quarter unless mutually agreed.
12. Warranties and Disclaimers
Seller provides a 12-month limited warranty covering manufacturing defects under normal use. EXCEPT AS EXPRESSLY SET FORTH HEREIN, SELLER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
13. Limitation of Liability
IN NO EVENT SHALL SELLER BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE THEORY OF LIABILITY. SELLER'S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE GOODS.
14. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to natural disasters, governmental actions, shipping delays, or pandemics.
15. Entire Agreement and Modifications
These terms constitute the entire agreement between the parties and may only be modified by written agreement signed by both parties' authorized representatives. These Terms constitute the entire agreement and supersede all prior negotiations and understandings.
